By accessing or using NoteSmith (“the Service”), operated by VARO Industries, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

NoteSmith is a collaborative document platform that allows users to create, edit, share, and collaborate on documents in real time. The Service is provided on an invitation-only basis during its early-access period.

3. Accounts

You must be invited to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use at [email protected].

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload or transmit content that is illegal, harmful, abusive, or infringes on third-party rights
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer or attempt to extract the source code of the Service

5. Your Content

You retain ownership of content you create on NoteSmith. By using the Service, you grant VARO Industries a limited, non-exclusive license to store, process, and display your content solely as necessary to provide the Service. We do not sell your content or use it for advertising purposes.

6. Intellectual Property

The Service, including its design, code, and branding, is the property of VARO Industries and is protected by intellectual property laws. The NoteSmith name and logo are trademarks of VARO Industries.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Disclaimer of Warranties

The Service is provided “as is” without warranties of any kind, express or implied. VARO Industries does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

To the maximum extent permitted by law, VARO Industries shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the Service.

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason including violation of these Terms.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by updating the effective date above. Continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of competent jurisdiction.
